Gerald Edelman advises on the sale of Rev Comps to Winvia

Gerald Edelman is pleased to announce that its Corporate Finance team has advised Rev Corp Ltd (“Rev Comps”), a digitally-driven UK prize competition platform, on the sale of its trade, business and assets to Winvia Entertainment (“Winvia”), a technology-led entertainment group focused on prize draw competitions and online gaming. The transaction is subject to customary closing conditions.

Rev Comps is a family-run business offering daily prize draw competitions to a loyal and growing customer base, creating thousands of winners each year across a wide range of prizes including cars, watches, tech and holidays.

Founded in 2019 by Robbie and Peter Savage, Rev Comps has built a strong brand and a highly engaged community of players, with revenues of approximately £80 million. It is now recognised as one of the most trusted names in the UK Prize Draw & Competitions (“PDC”) sector.

The acquisition adds scale, an established player base and a brand that complements Winvia’s existing portfolio of Best of the Best (“BOTB”) and Click Competitions. Ahead of completion, Rev Comps will be migrated onto Winvia’s proprietary multi-brand technology platform, which is expected to drive deeper player engagement.

Under the terms of the agreement, Winvia will pay cash consideration on completion, with the potential for further consideration tied to future business performance. The Rev Comps founders are expected to remain involved following completion, playing a central role in the next phase of the business’s growth.

The transaction marks Gerald Edelman’s second deal in the UK PDC sector within 12 months, having also advised the shareholders of Click Competitions on their sale to Winvia in May 2025.
