Gerald Edelman’s Corporate Finance team provides lead advisory and due diligence support on the acquisition of a specialist outsourced payroll provider
Gerald Edelman is delighted to announce that its Corporate Finance team has advised its client, a special purpose vehicle consisting of professionals in the human capital space, on its acquisition of a specialist outsourced payroll provider. The acquisition represents the platform acquisition of a buy-and-build strategy.
The executive team spearheading the acquisition are amongst the most experienced in the human capital sector and bring over 60 years of combined experience. They have an impressive track record of growing and selling companies in the sector, and have completed more than 20 acquisitions over the past 25 years.
The Gerald Edelman role was split between deal advisory services (including identifying the target and advising on the transaction) as well as financial and tax due diligence services as part of this acquisition.
The managing director of the SPV commented:
“We are incredibly grateful to the team at Gerald Edelman for their hard work in getting this acquisition across the line – both from the Deal Advisory and Transaction Services teams within their Corporate Finance offering. We were working to a very tight timescale, and the team were able to guide us through the intricacies of the process seamlessly.
This acquisition represents a landmark transaction for us as the platform of a buy-and-build strategy, and I’d like to personally thank Gerald Edelman for finding us the perfect partner to begin this process. The preparation work they did before we started speaking to potential targets ensured that we were able to identify a company that fitted our exact specifications, so there were no surprises later on during the due diligence process.
We’re already looking forward to the next acquisition, and can’t wait to see what the future holds for the group.”
Nick Wallis, Partner in Gerald Edelman’s Corporate Finance team, added:
“We’re delighted to have advised on this successful transaction. This deal has demonstrated the team’s ability to provide a wide range of services across the corporate finance spectrum as we found a fantastic acquisition target, provided advice to the buyers, negotiated an excellent deal as well as providing due diligence services. While we remain sector agnostic, it’s great to get another transaction in the human capital space under our belt, as our experience in the sector continues to grow. We thoroughly enjoyed working with the executive team and believe that, under their guidance, the group is going to go from strength to strength.”
The deal terms and details of the buyer and seller have been anonymised.
